These Terms and Conditions (“Terms”) govern your use of the GoGrabi Shopper Application (“Shopper App”)platform, and affiliated content, which are copyrighted works belonging to Nexio Retail Concepts Ltd. called (GoGrabi), to sign up as a personal shopper or delivery provider and/or provide such services through the GoGrabi Platform (as defined herein).
Your provision of any personal shopping and/or delivery services are subject to the Independent Contractor Agreement between you and GoGrabi, including its subsidiaries or affiliates; or, if you are using the Shopper App in the course of your employment, the provision of any personal shopping and/or delivery services are subject to your employment agreement or your employer’s agreement with GoGrabi, including its subsidiaries or affiliates (each agreement may be referenced in these Terms as the “Agreement” and such terms regarding the Agreement are only applicable if you or your employer have entered into one).
Before using the Shopper App, you are required to read, understand, and agree to these Terms. By using the Shopper App, you agree to be bound by these Terms and acknowledge and agree to the collection, use, and disclosure of your personal information in accordance with GoGrabi’s Shopper and Shopper Applicant Privacy Policy.
1. DEFINITIONS
1.1. The “Shopper App” shall mean the software provided by GoGrabi, to be used on Apple iOS and Android OS devices and any upgrades from time to time and any other software or documentation which enables the use of the Shopper App. The Shopper App allows you to submit your information to sign up to provide services through the GoGrabi Platform and to receive information to enable your performance of “Services” which shall mean personal shopping and/or delivery services through the GoGrabi Platform pursuant to the Agreement.
1.2. The “GoGrabi Platform” is Nexio Retail Concepts Ltd’s technology that provides a communications and logistics platform that enables consumers who seek Services from retailers in their area to be matched with individuals or third party providers interested in providing those services.
1.3. “Device” shall mean a mobile device capable of running the Shopper App.
2. PROPRIETARY RIGHTS AND LICENSES
2.1. All trademarks, copyright, database rights, patent, and other intellectual property rights of any nature in the Shopper App together with the underlying software code, its affiliated content (which may be accessed outside of the Shopper App on GoGrabi-controlled webpages), and any and all rights in, or derived from the Shopper App or the GoGrabi Platform are proprietary and owned either directly by GoGrabi or by Nexio Retail Concepts Ltd’s licensors and is protected by applicable intellectual property and other laws. You agree that you will not use such proprietary information or materials in any way whatsoever except for use of the Shopper App in compliance with these Terms and the Agreement. No portion of the Shopper App may be reproduced in any form or by any means, except as expressly permitted in these Terms. You agree not to modify, rent, lease, loan, sell, distribute, or create derivative works based on the Shopper App in any manner, and you shall not exploit the Shopper App in any unauthorized way whatsoever, including, but not limited to, by trespass or burdening network capacity.
2.2. GoGrabi hereby grants you a non-exclusive, non-transferable, non-sub licensable, worldwide, and perpetual revocable license to use the Shopper App for your lawful use in accordance with these Terms and the Agreement on your Device. Nexio Retail Concepts Ltd retains all rights, title, and interest in and to the Shopper App, the GoGrabi Platform, and its other intellectual property. This license starts on the date that you accept these Terms and install or otherwise use the Shopper App. The license ends on the earlier date of your disposal of the Shopper App or GoGrabi’s termination of the license in accordance with these Terms or the Agreement.
2.3. The Shopper App may request from you any feedback, including but not limited to product or retailer information, or images of receipts or products (“Feedback”). You agree that such Feedback shall be the exclusive property of GoGrabi and that you will sign all documents necessary to confirm or perfect the exclusive ownership of GoGrabi to the Feedback. You further agree not to enforce, and otherwise waive to the fullest extent legally possible any moral rights that you may have now or in the future in respect of the Feedback and, to the extent GoGrabi is not recognized as the owner of Feedback, you agree to grant GoGrabi a worldwide, perpetual, irrevocable, royalty-free, fee-free, fully transferable and sub-licensable license to use, exploit, or modify the Feedback in any way and for any purpose without payment to you.
3. CONDITIONS OF USE
3.1. When signing up to be a user of the GoGrabi Platform, your information will be used to create an account. You may not sign up more than once. You will take all reasonable steps to protect your log in details and keep them secret, including any access codes you may be sent to access your account. You are responsible for all activities performed using the Shopper App whether the access is authorized by you or not.
3.2. You may use the Shopper App in accordance with the following conditions:
Pursuant to the Agreement, with the terms of service of the relevant digital storefront where you obtained the Shopper App, including but not limited to the Apple iOS App Store and the Google Play Store, in accordance with any applicable third party terms of agreement using the Shopper App, and per any applicable law, rule, and regulation.
You may only use the Shopper App in countries and territories where GoGrabi’s services are available to customers.
You must provide GoGrabi information that is true, accurate, and complete at all times and you may not impersonate any other person in your use of the Shopper App or the GoGrabi Platform or post another person’s personal information, data, content, or materials through the Shopper App or the GoGrabi Platform without the person’s consent.
You may not rent, lease, sell, transfer, redistribute, or sublicense the Shopper App.
You may not use or promote the use of any form of modifications, exploits, or other unauthorized means to interfere with, or gain undue advantage in your use of the GoGrabi Platform.
You may not attempt to disrupt or burden the normal operation of the GoGrabi Platform, or any of GoGrabi’s infrastructure or any of GoGrabi’s other business activities.
You may not make any automated uses of the Shopper App or the GoGrabi Platform or gain any other unauthorized access therewith.
You may not attempt to decompile, reverse engineer, disassemble, hack, defeat, or overcome any of GoGrabi’s software, encryption technologies, or security measures or data transmitted, processed or stored by GoGrabi.
3.3. GoGrabi’s failure to monitor or enforce a provision of these Terms does not constitute a waiver of its right to do so in the future with respect to that provision, any other provision, or these Terms as a whole.
4. DISCLAIMER AND LIMITATION OF LIABILITY
4.1. THE SHOPPER APP AND GOGRABI PLATFORM ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. GOGRABI DISCLAIMS ALL REPRESENTATIONS, CONDITIONS, AND WARRANTIES, EXPRESS, LEGAL, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. IN ADDITION, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOGRABI MAKES NO REPRESENTATION, WARRANTY, CONDITIONS, OR GUARANTEE REGARDING THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, OR AVAILABILITY OF THE SHOPPER APP OR GOGRABI PLATFORM, OR THAT THE SHOPPER APP OR GOGRABI PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE.
4.2. GOGRABI SHALL NOT BE LIABLE FOR DAMAGES OF ANY TYPE, WHETHER DIRECT OR INDIRECT, ARISING OUT OF OR IN ANY WAY RELATED TO THE SHOPPER APP OR GOGRABI PLATFORM, INCLUDING BUT NOT LIMITED TO DAMAGES ALLEGEDLY ARISING FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELAYS, DEFECTS AND/OR ERRORS IN TRANSMITTING, RECEIVING, ORIGINATING, TERMINATING, AND/OR DELIVERING INFORMATION REGARDING THE SERVICES. GOGRABI SHALL NOT BE LIABLE UNDER ANY CIRCUMSTANCES FOR ANY SPECIAL, CONSEQUENTIAL, INCIDENTAL, EXEMPLARY OR PUNITIVE DAMAGES, OR LOSS OF PROFIT OR REVENUES, EVEN IF GOGRABI HAS BEEN SPECIFICALLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. GOGRABI IS NOT LIABLE UNDER ANY CIRCUMSTANCES FOR DAMAGES ARISING OUT OF OR RELATED IN ANY WAY TO YOUR USE OF YOUR INABILITY TO ACCESS, OR YOUR DIFFICULTY IN ACCESSING, THE GOGRABI PLATFORM THROUGH THE SHOPPER APP. GOGRABI IS NOT LIABLE FOR ANY CHARGES YOU MAY INCUR IN USING THE SHOPPER APP. GOGRABI SHALL NOT BE LIABLE UNDER ANY CIRCUMSTANCES FOR DAMAGES ARISING OUT OF OR IN ANY WAY RELATED TO PRODUCTS, SERVICES, AND/OR INFORMATION OFFERED OR PROVIDED BY THIRD-PARTY VENDORS AND ACCESSED THROUGH THE SHOPPER APP OR BY ANY OTHER MEANS. GOGRABI SPECIFICALLY DISCLAIMS ANY LIABILITY OF ANY KIND FOR COSTS OR DAMAGES ARISING OUT OF PRIVATE OR GOVERNMENTAL LEGAL ACTIONS RELATED TO YOUR USE OF ANY OF THE SHOPPER APP OR GOGRABI PLATFORM IN ANY COUNTRY.
5. CHANGES AND UPDATES
5.1. GoGrabi may make changes to these Terms from time to time. When GoGrabi does so, GoGrabi will post the most current version of the Terms and, if a revision of the Terms is substantial, GoGrabi will notify you of the new Terms (for example, by email or a notification on the Shopper App). Changes to these terms will not apply retroactively. If you do not agree to the modified terms, you should discontinue your use of the Shopper App.
5.2. You understand that, GoGrabi may, at its sole discretion, provide updates and changes to the Shopper App and GoGrabi Platform and that it is your responsibility to update the Shopper App when updates are available. GoGrabi is not liable for any loss that you may suffer as a result of your failure to update.

This Shopper and Shopper Applicant Privacy Policy explains what information we collect from GoGrabi Shoppers, how that information is used, and under what circumstances we share that information.
Information we collect
1. Information you provide to us or allow others to provide to us
During the course of your relationship with GoGrabi, you may provide us with information about yourself. For example, you may provide us with information during the sign-up process, such as your name, photograph, address, phone number, email address, NID number, Passport information, and other biographic information. You may also provide us with additional information over the course of your relationship with GoGrabi, such as health or financial information.
2. Technical information about your usage of the GoGrabi platform
When you use the GoGrabi platform, either through a browser or mobile app, we automatically receive some technical information about the hardware and software that is being used.
Cookies and Other Tracking Technologies: We and our partners use various technologies to collect information, including cookies and device identifiers. Cookies are small text files that are sent by your computer or device when you access our services through a browser or mobile application. We may use session cookies (which expire when you logout of the app or close your browser), persistent cookies (which expire when you choose to clear them from your browser), and other identifiers to collect information from your browser or device that helps us personalize your experience and remember things like your current zip code or that you have already logged in to GoGrabi.
We employ some third-party services to help us understand the usage of GoGrabi, and these third-parties may also deploy cookies on our site or collect information through our mobile applications. Log information: When you use the GoGrabi platform, our servers will record information that is sent by your device or browser. This information can include things related to your shopping services for GoGrabi (such as orders accepted, items found, and items replaced) as well as things like the IP address of your device, information about the browser, operating system and/or app you are using, unique device identifiers, pages that you navigate to and links that you click, searches that you run on GoGrabi, and other ways that you interact with the GoGrabi platform.
Location information: In connection with your use of the GoGrabi mobile app to provide shopping services, we may collect information about the location of your device when the app is running in the foreground or background.
How we use your information
For business purposes: We may use your information to help us provide, maintain and improve the GoGrabi service. For example, we may use your information to contact you (including via text/SMS messaging), respond to your communications and requests, provide support, process your payments, verify your identity, and to evaluate and ensure the health and safety of our shoppers and customers. You can opt-out of receiving recruiting communications from GoGrabi by using the unsubscribe mechanism included in the message, where applicable.
Platform improvements: We may also use your information to make improvements to the GoGrabi platform, to understand how shoppers and shopper applicants interact with our service, and to develop new services.
What we share
Disclosure of information to third parties. We may share your information with third parties under certain circumstances:
With your consent or at your direction — We may share your information with entities outside of GoGrabi when we have your consent to do so or it is done at your direction.
With customers — We may provide some of your information to customers in connection with your shopping and/or delivering an order. For example, we may display your first name and last initial to customers to show them who is shopping and/or delivering their order. We may also display your location to the customer when their order is in the delivery process.
With our retail partners — We may share your information with our retail partners in order to provide and maintain the GoGrabi service. For example, we may need to share your contact information with a retail partner in order to enable you to deliver certain products, such as alcohol products. In addition, we may provide your information to a retail partner if there is a complaint, dispute, or conflict between you and a retail partner or customer, or to prevent or stop activity that GoGrabi or a retail partner considers to be inappropriate, illegal, unethical, or legally actionable.
For legal purposes — We may share your information when we believe that the disclosure is reasonably necessary to (a) comply with applicable laws, regulations, legal process, or requests from law enforcement or regulatory authorities, (b) prevent, detect, or otherwise handle fraud, security, or technical issues, and (c) protect the safety, rights, or property of any person, the public, or GoGrabi.
For external processing — We sometimes employ third parties outside of GoGrabi to process information on our behalf in compliance with this Privacy Policy and using other appropriate security and confidentiality measures.
For business purposes — We may share your information in connection with, or during negotiations of, any merger, sale of company assets, financing or acquisition of all or a portion of our business by another company. We may also share your information with third parties on a non-personally identifying basis and an aggregate basis for legitimate business purposes. We may also share your information between and among GoGrabi, and its current and future parents, affiliates, subsidiaries, and other companies under common control and ownership.
The Peoples Republic of Bangladesh Disclosures
We may require Shoppers using the GoGrabi platform to verify their identity through the use of a facial recognition technology system (the “System”). As described in this policy, the System requires you to take pictures of your face and submit them to GoGrabi for verification. GoGrabi does not take a position on whether the information collected, used, and stored through this System qualifies as biometric information as defined by any state or local law.
Purpose: We collect your facial images to verify your identity, preserve the integrity of the GoGrabi platform, prevent against either intentional or unintentional, inaccurate or unauthorized use of the GoGrabi Platform, and ensure only authorized Shoppers are using the Shopper User Profile assigned to a specific individual.
Collection, Storage, And Usage Of Information: You may be required to submit to GoGrabi: (1) a picture of your face taken on a mobile device to serve as your avatar, and (2) an additional picture while visibly holding your government issued identification card (the “Pictures”). The Pictures will then be stored in the System as part of your Shopper User Profile until that profile is deleted. From time to time, GoGrabi may require you to take an additional or updated image of your face on your mobile device (“Verification Pictures”) and submit the Verification Pictures to GoGrabi for comparison to the Pictures for identify verification. The Pictures and any Verification Pictures are used only for identity verification and platform security and use integrity purposes. The Pictures and Verification Pictures are securely maintained in GoGrabi’s databases and systems, and are not shared outside of GoGrabi other than as necessary with GoGrabi’s third-party vendors for identity verification and platform security and use integrity purposes.
Retention And Destruction Of User Profile Information: GoGrabi retains your User Profile, the Pictures, and Verification Pictures for as long as you continue to use the GoGrabi platform. Specifically, the Pictures are stored on the System until your User Profile is deleted. Verification Pictures are stored on the System for 30 days. Should you cease using the GoGrabi platform and later resume the use of the GoGrabi platform, you must create a new User Profile and submit new Pictures to GoGrabi through the System for re-verification of identity. Additionally, upon your written request, GoGrabi will delete your existing User Profile, including Pictures and Verification Pictures, from the System, unless GoGrabi is authorized by law to retain such information. You may subsequently create a new User Profile, including new Pictures and Verification Pictures.
Changes to this Policy
This policy may change from time to time and any revised Policy will be posted at this page, so we encourage you to review it regularly. If we make changes, we will notify you by revising the date at the top of this Policy and, in some cases, we may provide you with additional notice (such as a notice on our Shopper page or sending you a notification).
